Michael Bissonnette

Michael is a serial entrepreneur whose passion for translating good ideas into great companies has spanned more than three decades. He has founded, funded and built four multi-million dollar companies from scratch—three into international companies. The first one failed. He sold the second one for a handsome profit and took the third and fourth public on the NASDAQ, including Boulder-based AeroGrow International. He “retired” after his last successful venture but was lured back into business by the excitement and satisfaction of using what he had learned to help others with exciting business potential, take their companies to the next level.

Among his achievements is AeroGrow International. He raised a total of $30 million to fund the company — $5 million initially from Direct Public Offerings and later $25 million from four PIPES offerings that he was able to capitalize on from taking his company public on the NASDAQ. He leveraged that capital into skyrocketing growth under his command totaling $87 million in cumulative sales in only 3 years. The company attained market capitalization of $150 million at the time of his retirement and investors saw returns up to 900%.

His prior company, Voice Powered Technology, Inc., was funded with $5 million through a direct public offering followed by a traditional IPO where he raised $6.5 million. The company grew from zero to $24 million in sales in only 18 months and attained market capitalization of almost $70 million. Investors saw as much as 300% returns. That company was sold to Franklin Electronics.

Knight Protective Industries was funded with $2 million through 2 direct public offerings and grew from zero to $7 million in four years. Early investors enjoyed returns of up to 1,300%.

Michael’s first company, ShagriLa Carpets, failed from lack of capital through his expansion faze – lessons that taught Michael the importance of adequate funding, conservation of capital and well planned expansion.

Michael is well known as an expert in non-traditional funding methods and sales and marketing. He has a passion for new ideas and for bringing products to market in unique, dramatic ways. Having mentored many entrepreneurs through the years to help them fund and build their own companies, he is now putting his skills and battlefield experience to work to help the best and brightest emerging growth companies duplicate his own success.

David Rees

David Rees is one of the nation’s premier attorneys, specializing in Direct Public Offerings. He and his team have completed over one hundred DPO’s.

Due to the number of companies needing funding in this economy, he is staffed up and typically has two to three direct public offerings in process at any given time.

Given the partnering relationship between us and his ability to handle all aspects of the preparation and execution of DPO offering documents quickly and efficiently, we have created a highly cost-effective structure for our client companies. This typically includes stock and small upfront legal fees (in rare cases we will defer 100% of the legal costs).

In addition to U.S. companies, he has worked with a wide variety of international companies in both a legal and fundraising capacity in Canada, Asia, India, and throughout Europe.

Among other positions, David has served as CEO of a publicly traded educational software company based in Utah; as Vice President of Strategic Planning for a publicly traded Internet company headquartered in Los Angeles, California; as Vice President of Investment Banking for Catalyst Financial in Connecticut; and, for the last 18 years, as general counsel to numerous public and private companies.

He was previously an attorney in the Mergers & Acquisitions and Corporate Finance departments at the international law firm of Skadden, Arps, Slate, Meagher & Flom in New York City. He has been admitted to the New York State Bar and Utah State Bar. David received his undergraduate degree in History from Weber State University and his Juris Doctor degree from New York University.

David has also founded and funded a $5 million private equity fund specializing in funding private companies.

Ben Borgers

Ben Borgers

Ben is both a Certified Public Accountant and a Certified Valuation Analyst with 10 years of experience in the field. Ben’s firm, B.F. Borgers CPA PC, is a PCAOB registered firm, allowing him to audit public companies (less than one out of 100 CPA firms receive this certification).

He has specialized in CPA and auditing needs for companies that are raising money, from extremely large, to extremely small and everywhere in between. All told, in Ben’s career, he has represented companies that have raised in excess of $1.5 billion. His specialty, however, has been in representing microcap private companies that are raising money through Direct Public Offerings—in total his client companies have raised over $85 million using DPO’s.

Ben is currently conducting the audits for six companies raising money through Direct Public Offerings. Ben is also currently the auditor for 20 public companies.

Ben has two degrees from Texas A&M University, one in accounting and another in Management Information Systems.

Ben has both reduced his fees and allowed for payment terms to further assist the needs of our clients trying to raise money.
